try just one stick in different slots.. if a diff slot works, it's the mobo...

thanks for all the help. I finally figured out the problem last night. would u believe it was the cd rom drive???

Just an FYI:

While Googleing for answers I found this thread.
I was receiving the error "the file dmboot.sys is corrupt" during installation of Windows XP. Turns out upon further investigation one of the two CD drives wasn't showing up in the BIOS. After removing the drive that didn't register the install went fine.
